Epomart Terms of Service
Marketplace Agreement for Products and On-Demand Services.
1. Introduction and Acceptance
These Terms of Service (“Terms”) govern access to and use of the website, mobile application, and related services (collectively, the “Platform”) operated by Epomart Technologies Private Limited (“Epomart”, “we”, “us”, “our”), a company incorporated under the laws of India, having its registered office at Epomart Technologies Private Limited, Sector 4, HSR Layout, Bengaluru, Karnataka 560102, India (CIN: U72900KA2026PTC123456).
The Platform allows:
- (a) Independent third-party sellers (“Sellers”) to list and sell physical products (“Products”) directly to buyers (“Users” / “Buyers”); and
- (b) Independent third-party service professionals (“Service Providers”) to list and offer on-demand or scheduled services (“Services”) — such as electrician work, home/room cleaning, home decoration, appliance repair, and other categories permitted on the Platform from time to time — to Users who book them.
2. Definitions
- “Platform”: The Epomart website, mobile applications, and associated technology infrastructure.
- “User” / “Customer”: Any individual or entity who registers, browses, or transacts on the Platform to purchase Products or book Services.
- “Seller”: An independent third party registered on the Platform to catalogue and sell Products.
- “Service Provider”: An independent third party (individual technician, or professional agency) registered on the Platform to offer and execute Services.
- “Product”: Any physical merchandise listed for sale by a registered Seller.
- “Service”: Any on-demand, scheduled, or in-person service listed by a Service Provider, including electrician, plumbing, cleaning, decoration, and repair services.
- “Order”: A confirmed purchase of a Product or booking of a Service placed through the Platform checkout.
- “Content”: Listings, prices, descriptions, images, reviews, ratings, and customer feedback posted on the Platform.
3. Nature of the Platform — Intermediary Role
Epomart is an intermediary and technology marketplace. We are NOT the seller, manufacturer, or supplier of any Product, and we are NOT the provider or direct employer of any Service Provider.
For Products: We do not own, manufacture, or hold title to any Product listed on the Platform. Contracts of sale are concluded directly between the User and the Seller. Epomart provides technology hosting, payment processing facilitation, and customer support coordination.
For Services: We do not employ or supervise the day-to-day on-site work of any Service Provider. Service Providers act as independent contractors. When a User books a Service, the contract for performance is formed directly between User and Service Provider. Epomart provides discovery, scheduling, and payment infrastructure.
We operate as an “intermediary” under Section 2(1)(w) of the Information Technology Act, 2000, complying with the Intermediary Guidelines and Digital Media Ethics Code Rules, 2021, and the Consumer Protection (E-Commerce) Rules, 2020.
4. Eligibility and Account Registration
Users, Sellers, and Service Providers must be at least 18 years of age and legally competent to enter into binding contracts under the Indian Contract Act, 1872.
5. Product Purchases
- Catalog listing, product specifications, inventory counts, and retail prices are determined solely by Sellers.
- Dispatch, packaging, and generation of statutory GST invoices remain the Seller’s duty, assisted by Platform logistics partners.
- Return, replacement, and refund policies are stipulated on each product listing, subject to Epomart’s buyer-protection guarantees.
- Product payments are received into an escrow settlement account and disbursed to Sellers per established payout cycles.
6. Service Bookings
- Pricing, estimated work durations, and service scopes are specified by Service Providers subject to platform minimums and surge guidelines.
- Users must provide accurate premise addresses, access permissions, and hazard disclosures before technician arrival.
- Cancellations or rescheduling are governed by the policy active at the moment of booking.
- Users are responsible for personal valuables and safe access on their premises. Service Providers are responsible for executing their trade safely and skillfully.
7. Prohibited and Restricted Listings
The following listings and services are strictly prohibited on the Platform:
- Counterfeit goods, stolen property, unlicensed weaponry, explosives, fireworks, or hazardous chemicals.
- Narcotics, prescription pharmaceuticals without registered chemist authorization, and banned wildlife derivatives.
- Services requiring government certifications the provider does not hold.
- Adult, sexually explicit, or unlawful personal escort services.
- Any product or service that violates central, state, or municipal statutes of the Republic of India.
8. Payments, Fees, and Commission
Epomart charges Sellers and Service Providers a pre-agreed marketplace commission on each completed transaction. Users may be charged transparent convenience or delivery fees disclosed at checkout.
All digital transactions are settled through Reserve Bank of India (RBI) authorized payment gateways with 3D-Secure 2FA authentication.
9. User Conduct
All members of our community agree never to:
- Infringe copyrights, patents, trademarks, or trade secrets of third parties.
- Circumvent platform billing to solicit cash settlements or off-platform direct transactions to evade marketplace protections.
- Harass, threaten, insult, or discriminate against Sellers, Technicians, or customer support representatives.
- Scrape, reverse-engineer, inject malware, or launch automated DDoS requests against the Platform infrastructure.
10. Ratings, Reviews, and Verification
Users can review purchased products and completed service visits. Ratings must reflect authentic, firsthand consumer experiences. Manipulation of ratings (including compensated or retaliatory reviews) is prohibited and will result in immediate suspension.
11. Limitation of Liability and Disclaimer
To the fullest extent permissible under Indian law, Epomart and its officers, directors, and employees disclaim liability for:
- The quality, durability, or fitness for purpose of any Product catalogued by an independent Seller.
- The manual skill, behavioral outcome, or standard of care executed by a Service Provider at a customer’s residence.
- Loss of profits, incidental damages, or force majeure disruptions beyond reasonable commercial control.
The Platform is provided on an “as is” and “as available” basis without warranties of merchantability beyond those required by mandatory consumer statutes.
12. Indemnification
Sellers and Service Providers agree to defend, indemnify, and hold harmless Epomart Technologies Private Limited, its directors, affiliates, and employees from any third-party claims, liabilities, damages, or fines arising from product defects, tax non-compliance, on-site damage, or breach of these Terms.
13. Intellectual Property
All trademarks, domain names, mobile code, software UI, and graphics are the exclusive intellectual property of Epomart Technologies Private Limited. Partner listing assets remain their property, granted to Epomart under a worldwide, royalty-free license for marketplace display.
14. Grievance Redressal Mechanism
Pursuant to the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and Consumer Protection (E-Commerce) Rules, 2020:
15. Termination and Suspension
Epomart reserves the right to suspend or terminate accounts, withhold payouts, or cancel active listings upon repeated consumer complaints, safety infractions, or fraudulent actions, with notice as required by law.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the substantive laws of India. Any controversy or claim arising out of or relating to these Terms shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996.
The arbitration seat and legal venue shall be Bengaluru, India, and the competent courts at Bengaluru shall hold exclusive jurisdiction, without prejudice to a consumer’s statutory rights before the Consumer Disputes Redressal Commission.
17. Amendments
We may revise these Terms to maintain compliance with evolving regulations. Continued access to the Platform after posted amendments indicates full acceptance of the revised Terms.
